Mexican corporate and private equity law varies significantly from that of the US and other countries.  Non-Mexican clients must be well advised in structuring private equity transactions.

  • Platinum Equity, a private equity firm based in Los Angeles, in the portion of its acquisition of  Williams Communications Solutions that involved the target’s Mexican subsidiary, as well as in its acquisition of the software division of Centura Software Corporation in connection with its Centura’s Mexican subsidiary.
  • DB Zwirn in its US$ 70 million acquisition of a distressed asset portfolio from BBVA Bancomer, S.A. 
  • Fideicomiso Emprendedores of Nafinsa, the most active venture capital fund in Mexico, in its purchase of various target companies including, Simitel y Tiendakit
  • Ignia, a new venture capital firm targeting the underserved needs of low income populations, in incorporating as a private equity fund, resolving cross-border fund formation legal issues, and as fund’s general counsel.          
  • Proequity in incorporating as a private equity fund that is raising up to 150 million dollars, incorporating as a private equity fund, resolving cross-border fund formation legal issues, and as fund’s general counsel.
  • Cube Capital, a hedge fund of funds based out of London, in its participation in a new non-bank banking entity.
  • A U.S. private equity fund in its acquisition of several Mexican entities.
  • Road9 LLC in structuring a private equity investment received from a Mexican fund.
